RE: ANNUAL STOCKHOLDER MEETING

Dear Stockholders:

The Annual Meeting will be held on December 13, 2004 at 1:30 p.m. at the First Mennonite Church (Fellowship Hall) in Aberdeen, located at 381 W. Washington Street.

Nomination and election of Directors will be approximately at 3:00 p.m. Director's whose terms will expire this year are Bob Knudsen, Jr., Clarence Schroeder, and Mick Parris.

According to the ASCC By-Laws, all persons desiring to vote by proxy at said meeting must file written authorization or fill out a Stock Proxy form. You may obtain a Stock Proxy form from the office or contact one of the Directors. All proxies are to be filed with the Secretary of the Company no later than December 6, 2004. For voting purposes only, no transfer of stock made later than November 30, 2004 will be recognized.

LEGAL NOTICE
NOTICE IS HEREBY GIVEN that the Annual Meeting of the stockholders of the Aberdeen-Springfield Canal Company will be held in the Fellowship Hall of the First Mennonite Church in Aberdeen, Idaho, (381 Washington Street, across from the Aberdeen Middle School) on Monday, December 13, 2004 at 1:30 p.m. The purpose of said Annual meeting will be the election of three directors for three year terms and the transaction of any other business which may properly come before said meeting; voting for directors to begin no later than 3:00 p.m. of said day (Directors whose term expire are: Robert Knudsen Jr., Mitchell Parris, and Clarence Schroeder.)
According to the provision of the By-laws, all persons desiring to vote by proxy at said meeting must file the same with the Secretary of the Company no later than December 3, 2004 and for voting purpose at said meeting, no transfer of stock made later than November 28, 2004 will be recognized.
